2024 ELECTION NOTICE
ChAD BOARD OF DIRECTORS 

CALL FOR CANDIDATES 

In accordance with the Act respecting the distribution of financial products and services (Act), the members of the Chambre de l’assurance de dommages (ChAD) elect eight of the thirteen members of ChAD’s Board of Directors. Five independent members of the Board are appointed by the Minister of Finance.

POSITIONS UP FOR ELECTION IN 2024 

Two of the eight director positions reserved for industry members are vacant on the ChAD Board of Directors. The term for these two positions is three years.

Online voting period Tuesday, October 1, to Friday, October 18, 2024, at 5:00 p.m. 
Polls close  Friday, October 18, 2024, 5:00 p.m.  

 

CONDITIONS FOR NOMINATION

To be eligible, a candidate must comply with the conditions set out in the Act and the ChAD bylaws (Bylaws) (available in French only).

  • Be a member in good standing.
  • Qualify as an executive officer within the meaning of the Bylaws: An executive officer is a member of the organization’s senior management, who has significant decision-making authority, typically manages senior staff (if there are such roles in the organization), and participates in the development of business guidelines and decisions. The executive officer must have at least three (3) years of experience as an executive officer in the damage insurance industry, whether consecutive or not (Bylaws, s. 1g, 15). 

The candidate must declare under oath that they (s. 18): 

a. Have not been the subject of a decision or sanction imposed by the Finance Services Office, the Bureau de décision et de révision, the Financial Markets Administrative Tribunal, or the Autorité des marchés financiers; 

b. Have not been found guilty by a disciplinary committee or a disciplinary council;

c. Are not under investigation by the Office of the Syndic of the ChAD or the AMF, to their knowledge; 

d. Have not been convicted or pleaded guilty of an offence or a penal or criminal act related to their professional activities; 

e. Are not a director of an association in the damage insurance industry whose mission is to protect the socio-economic interests of its members; 

f. Have not been found liable by a civil court in a matter related to their professional activities; 

g. Are not a member of the same financial group as an existing director; 

h. Are not a candidate or have not been elected in a municipal, provincial or federal election.

FORMALITIES FOR NOMINATION 

yone interested in running for election as an industry member should: 

  • Complete the nomination form and affidavit. 
  • Attach the identified documents to the nomination form. 
  • Send the duly completed and signed form along with the required documents to the returning officer by Friday, September 6, 2024, at 5:00 p.m. at elections@chad.qc.ca.

If there are no eligible candidates for a vacant position, the Board may appoint an individual who meets the eligibility criteria to fill the position. The director so appointed will be considered validly elected.

The online voting link will be provided to brokers and advisors affected by this election as of October 1, 2024.   
 
Concerned ChAD representatives who are duly authorized to act by the Autorité des marchés financiers as of August 19, 2024, may vote.
